City Ambassador Agreement

This City Ambassador Agreement (the "Agreement") is entered into as of [Effective Date] (the "Effective Date") by and between OKtoMeet, Inc., a Delaware corporation with its principal place of business at [Address] ("OKtoMeet"), and [Ambassador Full Legal Name], residing at [Address] (the "Ambassador"). OKtoMeet and Ambassador are each a "Party" and together the "Parties".
1. Engagement & scope
OKtoMeet engages Ambassador as an independent contractor to promote OKtoMeet within the city of [City] and through Ambassador's personal and professional channels, in accordance with the terms below.
1.1 Deliverables
- Publish a minimum of four (4) qualifying public posts per calendar month referencing OKtoMeet on Ambassador's primary professional channels (for example, LinkedIn, X, newsletter).
- Include OKtoMeet in at least two (2) in-person event mentions per quarter at events Ambassador organizes or speaks at.
- Use Ambassador's unique referral URL (provided by OKtoMeet) in all promotional content.
- Comply with the Brand & Content Guidelines and the Required Disclosure obligations set out in Sections 4 and 5.
1.2 Independent contractor
Ambassador is engaged as an independent contractor and not as an employee, agent, partner, or joint venturer of OKtoMeet. Ambassador has no authority to bind OKtoMeet or make representations on its behalf except as expressly authorized in writing.
2. Term & territory
The initial term of this Agreement is twelve (12) months from the Effective Date (the "Initial Term"). After the Initial Term, the Agreement automatically renews for successive three (3) month periods (each a "Renewal Term"), unless either Party gives the other thirty (30) days' written notice of non-renewal. Ambassador's assigned territory is [City] and remote audiences reasonably reachable through Ambassador's usual channels.
3. Compensation
OKtoMeet will pay Ambassador compensation in U.S. dollars as described in this Agreement. Ambassador is responsible for applicable taxes unless stated otherwise. Schedule B is the individualized fee schedule (USD amounts). It is not published here— contact us on LinkedIn to discuss Schedule B or the ambassador program.
3.1 Compensation components and triggers
The table below describes what may be payable and when. How much is in Schedule B—see Schedule B below.

3.2 Approval and 30-day hold
A signup is "approved" only when OKtoMeet, in its sole discretion, has reviewed and verified the prospective member and marked them as approved. Per-member commissions accrue on approval and are released for payout thirty (30) days after approval (the "Hold Period"), provided the member has not been removed during the Hold Period.
3.3 Rejected signups
If a referred signup is not approved, no commission is due. OKtoMeet may show a category-level reason in the ambassador dashboard. Approval determinations are final.
3.4 Caps
- Total compensation under this Agreement shall not exceed $2,500 in any calendar quarter unless otherwise agreed in writing.
- OKtoMeet may pause new commission accruals if Ambassador's rolling approval rate falls below 40% across any thirty (30) reviewed signups, pending review.
3.5 Forfeiture
Breach of Sections 4, 5, or 6, or any finding of fraud, may result in immediate forfeiture of unpaid commissions (including those in the Hold Period) and termination for cause.
3.6 Payment mechanics
Released commissions are paid in monthly batches via Stripe Connect (for U.S., EEA, U.K., Singapore, and Canada residents) or Wise (other jurisdictions), or through our affiliate platform where applicable. Ambassador must provide accurate payout details and tax forms (W-9 or W-8BEN) before first payout. Where we use Tolt for payout, released amounts may be settled on Tolt's schedule—for example NET-30 (payouts generated after the end of each month for the prior month) and subject to Tolt's minimum payout threshold (for example USD 200) when that setting is enabled.
3.7 Taxes
Ambassador is solely responsible for taxes arising from compensation. OKtoMeet will issue Form 1099 to U.S. persons where required.
4. Brand & content guidelines
- Use Ambassador's unique referral URL in all promotional content.
- Follow the OKtoMeet brand kit provided at onboarding.
- Do not make guarantees, warranties, or unsubstantiated claims about OKtoMeet or outcomes.
- Do not publish non-public information about members, roadmap, or financials.
- OKtoMeet may review Ambassador's first three (3) qualifying posts before publication and request reasonable changes.
5. Required disclosure
Ambassador must clearly and conspicuously disclose the paid relationship with OKtoMeet in all promotional content, in accordance with applicable law (including FTC Endorsement Guides, UK ASA / CAP Code, EU consumer protection rules, and equivalent rules where Ambassador publishes).
- Social posts must include #ad, #partner, or "paid partnership," and use platform-native paid labels where available.
- Newsletter or email mentions must include plain-language disclosure.
- In-person mentions must include verbal disclosure at the time of recommendation.
6. Prohibited conduct
- Self-referral, household referrals, or accounts Ambassador controls.
- Paying or incentivizing signups.
- Misrepresenting employment or agency with OKtoMeet.
- Spam, bots, fake accounts, or purchased traffic.
- Unlawful, defamatory, hateful, harassing, or sexually explicit content tied to the program.
- Referring individuals Ambassador knows are ineligible (including minors).
7. Intellectual property
Ambassador retains ownership of original content. OKtoMeet retains all rights in its name, logos, and materials. Ambassador grants OKtoMeet a worldwide, royalty-free, non-exclusive license to repost or reference public OKtoMeet-related content for marketing, with attribution, and a perpetual license to display Ambassador's name, photo, and city on OKtoMeet's ambassador page.
8. Confidentiality
Ambassador will protect non-public information about OKtoMeet, members, and the business, using reasonable care. Obligations survive termination for two (2) years, subject to standard exceptions.
9. Termination
- Either Party may terminate for convenience on thirty (30) days' written notice.
- OKtoMeet may terminate immediately for cause, including material breach, fraud, or conduct that harms its brand.
- On termination, Ambassador ceases promotion within seven (7) days; OKtoMeet pays commissions earned through the Hold Period for approved members up to the termination date, except as forfeited under Section 3.5. Sections 6–8, 10, 11, 12, and 13 survive as applicable.
10. Representations & warranties
Each Party represents it has authority to enter into this Agreement and will comply with applicable law. Ambassador represents content will be original or properly licensed and will not infringe third-party rights.
11. Indemnification & limitation of liability
Indemnification. Ambassador will indemnify, defend, and hold harmless OKtoMeet and its affiliates, directors, officers, employees, and agents from any third-party claim, demand, or proceeding arising out of or relating to Ambassador's breach of Sections 4, 5, 6, 8, or 10, or Ambassador's negligence or willful misconduct in performing under this Agreement.
Limitation of liability. Except for breach of Section 8 (Confidentiality), indemnification obligations under this Section 11, or willful misconduct, neither Party will be liable to the other for any indirect, incidental, special, or consequential damages. Each Party's aggregate liability is capped at the total compensation paid to Ambassador in the twelve (12) months preceding the claim.
12. Governing law & dispute resolution (binding arbitration)
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Binding arbitration. Any dispute arising out of or relating to this Agreement will be resolved exclusively by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Toronto, Ontario, Canada, in English. The arbitrator may decide issues of arbitrability. Judgment on the award may be entered in any court of competent jurisdiction.
Injunctive relief. Either Party may seek injunctive or equitable relief in any court of competent jurisdiction to protect Confidential Information or intellectual property.
13. Miscellaneous
- This Agreement is the entire agreement on its subject and supersedes prior understandings.
- Ambassador may not assign without OKtoMeet's prior written consent.
- Notices are effective when sent by email to the addresses specified at signing.
- If a provision is unenforceable, the remainder remains in effect.
- Amendments must be in writing and signed by both Parties; e-signatures are valid.

Tier definitions
- C-level: CEO, CFO, CTO, CMO, COO, CRO, CPO, CSO, Founder, Co-Founder, Managing Director, Partner.
- Exec-level: SVP, VP, Head of (functional lead), General Manager, Country Manager.
- Director-level: Director, Senior Manager, Principal (non-partner), Staff or Senior Staff (engineering).
OKtoMeet determines tier classification from verifiable signals (for example, LinkedIn, work email, public sources). Classification is final.

Qualifying public post: an organic public post on Ambassador's primary professional channel that references OKtoMeet by name, includes the unique referral URL and required disclosure, and meets minimum reach thresholds described in the executed program materials.

After OKtoMeet's hold, amounts are paid through Tolt on a NET-30 schedule (minimum USD 200 per payout where configured). Confirm current thresholds and dates in your Tolt dashboard; they may change in the platform.
